Corporate update for free zone companies: changes as of June 2025

As of June 4, the one-year term for all existing and registered companies to register an e-mail address with the Costa Rica's National Registry began.


This process is carried out through the notarization of a shareholders' agreement or a declaration of the company's attorney-in-fact in a public deed, in which the e-mail address to be used is established. Its processing and registration is free of payment of stamps or taxes.

As this information will be of public access, any judicial or administrative office (CCSS, Treasury, Municipalities, etc.) will be able to send notifications to the company through this e-mail, without it being necessary to physically notify the company at its registered address.
From the moment the notification is received in the registered mail, the term to answer it will begin to run. If the deadline expires, for whatever reason, without a response, the company must assume the consequences.

Our recommendation is to use a general address for the company, for example This email address is being protected from spambots. You need JavaScript enabled to view it., with a person in charge of constantly reviewing it and redirecting it to the appropriate person. As a double control, it can be implemented that every time a notification is sent to this email, several people receive an alert of it.

Because of how easy it will be to access this address, it is possible to receive spam or marketing emails. Hence the importance of the person in charge having the ability to distinguish which emails are notifications and which are spam.

New company names

With the publication and entry into force of Law No. 10729, published last May 30, all new corporations filed for registration before the National Registry will be registered only by their legal identification number and it will no longer be possible to assign them a name selected by the partners. As a result, it will no longer be necessary to publish the corresponding edict.

If the partners are interested in a specific name for their company, it must be filed with the Intellectual Property Registry, as a commercial name.

This regulation does not affect already existing companies.

Access to labor court records

Until now, access to the Judiciary's online system was limited to individuals who complied with the procedure of registering with that agency.

However, as of this June, the attorneys-in-fact of the defendant companies may also have access to the files. To do so, they must expressly request it before the corresponding judicial office.

That is to say, on behalf of the defendant company, the legal professional appointed as special attorney-in-fact and the attorney-in-fact of the defendant company may have access, but a single means of notification must be maintained.
