The Costa Rican Congress is currently reviewing Bill No. 25,094, which proposes amending articles 18 and 19 of the Costa Rican Commercial Code in order to allow the inclusion of an email address through a simple sworn statement submitted by an individual legal representative, without requiring an appearance before a notary public or the notarization of a shareholders' meeting.
It is important to emphasize that the proposed amendment: (i) does not address whether the legal representative's handwritten signature must be authenticated by a notary public, a matter that could be analyzed in the second and final legislative debate, and (ii) enables the option of submitting the email address inclusion request digitally, signed with a Costa Rican digital signature.
Furthermore, and even more importantly, Bill No. 25,094 establishes a transitional provision extending the deadline for email registration until December 31, 2026. The original deadline is June 4, 2026, and according to data from the National Registry, more than 374,000 companies have yet to register their email addresses. The Registry is also experiencing a backlog of approximately three months in registering commercial documents, making it virtually impossible to register all pending email addresses.

- The inability to register new documents in the Registry of Legal Entities of the National Registry.
- Automatic notifications in administrative or judicial proceedings.
